The Kenya Law of Contract Act, S. 2(1) provides that no contract in writing shall be void or enforceable by reason only that is not under seal. This provision constitutes a significant statutory departure from the English law relating to specialty contracts.
A counter offer is an offer in its own right and if accepted an agreement arises between the parties. Its legal effect is to terminate the original offer as in Hyde v. Wrench (1840), the defendant made an offer on June 6th to sell a farm to the plaintiff for £1,000.

10 Μαΐ 2022 · The law of contract in Kenya was first based on the Contract Act 1872 of India. This Act does not apply now in Kenya except to contracts made before 1st January, 1962. The law of Contract (Cap. 23) states that the English Common law of contract is applicable since 1st January, 1961.
