22 Οκτ 2018 · This paper explores the issue of ‘re-making’ corporate law through the prism of the United Nations’ recent efforts at reducing legal obstacles experienced by micro-, small- and medium-sized enterprises in starting and scaling a business.
The discussion is divided into three main parts: flexibility and the role of the lawmaker, flexibility as seen from the regulator’s side (in the broadest sense) and flexibility from the perspective of business.
We move to a more detailed discussion of existing hard law, particularly the state duty to protect, before examining examples of fulfilment of that duty via the domestication (especially the judicialization) of human rights norms for business.
