The following is the text of the Secretarial Standard-1 (SS-1) on “Meetings of the Board of Directors”, issued by the Council of the Institute of Company Secretaries of India and approved by the Central Government.
Standard on Meetings of the Board of Directors (SS-1), this revised Guidance Note elucidate the basis for setting the particular Standard, explain the procedural & practical aspects thereof and gives illustrative examples.
SS-1 prescribes a set of principles for convening and conducting Meetings of the Board of Directors and matters related thereto. This Guidance Note sets out the explanations, procedures and practical aspects in respect of the provisions contained in SS-1 to facilitate compliance thereof by the stakeholders. BACKGROUND
This Guidance Note elucidates the basis for setting the particular Standard, explains the procedural & practical aspects thereof and gives illustrative examples.
The Guidance Note in addition to providing an explanation for the SS stipulates certain additional provisions to be kept in mind when conducting board and general meetings. Additional provisions or clarifications under Secretarial Standard-1 (‘SS-1’) in light of the Guidance Note1 are highlighted in a tabular form below:
The Secretarial Standard on Meetings of the Board of Directors (SS-1) issued by the ICSI under Section 118(10) of the Companies Act, 2013 was first made applicable w.e.f. 1st July, 2015. It was then revised by the ICSI and approved by the Central Government in June 2017. The revised SS-1 was made applicable w.e.f. 1st October, 2017.
