This means you'll have to reinstall all your programs, but you can save your files and settings to an external storage before doing so with Windows Easy Transfer.

32bit > 64bit is not done by any upgrade. It is done by a clean install. OEM licenses are for the bit architecture that they are bought with. If you want to change it, you have to buy it, which is no longer sold.
