It’s essentially a dated receipt proving that the named person is the registered owner of a certain quantity and class of shares in a particular company. A Share Certificate provides legal proof that the person named on it is a member (ie shareholder) of the stated company and holds shares in that company. A company must issue Share Certificates for its shareholders within 2 months of its formation or the date of a new share issue or transfer.
The European Parliament has passed legislation putting an end to paper share certificates. Known as ‘dematerialisation’, the new law is expected to be mandatory by 2025. Whether this comes into force depends on the outcome of Brexit negotiations, as all EU laws may be kept, changed or removed.
